Terms of Service

1. Acceptance of Terms

By accessing or using AgroGuardAI's website, API, AgroMind application, AgroRobotics hardware, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Service Description

AgroGuardAI provides an AI-powered agricultural intelligence platform consisting of:

  • Agroguard Intelligence: An agricultural knowledge engine accessible via API, providing crop intelligence, disease diagnosis, and farming guidance.
  • AgroMind: A conversational mobile application for farmers, offering AI-powered Q&A, visual pest identification, and multilingual support.
  • AgroRobotics: Autonomous agricultural hardware including scout drones, ground rovers, and sprayer drones, controlled via our platform.

Our Services are designed to provide agricultural guidance and recommendations. They are not a substitute for professional agronomic advice, and results may vary based on local conditions.

3. Account Registration

  • You must provide accurate, complete, and current information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must be at least 16 years old to create an account.
  • One person or entity may not maintain more than one free account.
  • You are responsible for all activities that occur under your account.
  • Notify us immediately at security@agroguardai.com if you suspect unauthorized access.

4. User Content

You retain ownership of all data, images, and content you submit to our Services ("User Content"). By submitting User Content, you grant AgroGuardAI a limited, non-exclusive license to process, store, and analyze your content solely to provide the Services to you.

  • You are responsible for ensuring you have the right to submit all User Content.
  • We do not claim ownership of your farm data, images, or field information.
  • We will not use your individual User Content for model training without your explicit consent.
  • Aggregated, anonymized data may be used to improve our models (see our Privacy Policy).

5. Acceptable Use

You agree not to use our Services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Attempt to reverse-engineer, decompile, or extract the source code of our AI models
  • Use automated systems to scrape, collect, or harvest data from our Services beyond API usage
  • Attempt to bypass rate limits, authentication, or security measures
  • Redistribute, resell, or sublicense our API without written permission
  • Use our Services for any purpose unrelated to agriculture or food production
  • Submit false, misleading, or harmful content
  • Interfere with or disrupt the integrity or performance of our Services
  • Operate AgroRobotics hardware in violation of local aviation, agricultural, or safety regulations

6. Intellectual Property

All intellectual property rights in our Services, including but not limited to our AI models, software, website design, logos, trademarks, and documentation, are owned by AgroGuardAI or our licensors.

  • You may not copy, modify, or create derivative works of our Services except as permitted by these Terms.
  • The "AgroGuardAI," "AgroMind," and "AgroRobotics" names and logos are our trademarks.
  • API output generated for you is yours to use in accordance with your plan terms.

7. Payment Terms

  • Paid plans are billed monthly or annually as selected at subscription.
  • All fees are stated in US Dollars and are non-refundable except as required by law.
  • We reserve the right to change pricing with 30 days' notice.
  • Failure to pay may result in suspension or termination of your account.
  • Overage charges (if applicable) are billed at the end of each billing cycle.
  • Enterprise pricing is governed by separate agreements.

8. API Usage

  • API access is subject to rate limits based on your plan tier.
  • API keys are confidential and must not be shared publicly or embedded in client-side code.
  • We may throttle or suspend API access for excessive usage or abuse.
  • We provide the API "as is" and may modify endpoints with reasonable notice.
  • Deprecated endpoints will be supported for at least 6 months after announcement.

9. AgroRobotics Hardware

  • Hardware is provided under separate purchase or lease agreements.
  • You are responsible for operating hardware in compliance with all local laws and regulations.
  • You must maintain adequate insurance for hardware operations.
  • AgroGuardAI is not liable for damage caused by improper operation or environmental conditions.
  • Firmware updates may be applied automatically to ensure safety and performance.

10. Termination

  • You may terminate your account at any time by contacting us or through account settings.
  • We may suspend or terminate your access for violation of these Terms.
  • Upon termination, your right to use the Services ceases immediately.
  • We will make your data available for export for 30 days following termination.
  • Provisions that by their nature should survive termination will survive (including IP, liability, and dispute resolution).

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

  • The Services will be uninterrupted, timely, secure, or error-free
  • AI recommendations will be accurate, complete, or suitable for your specific conditions
  • Disease diagnoses will be 100% accurate in all cases
  • Hardware will operate without malfunction in all environmental conditions

Agricultural recommendations are based on AI analysis and should be validated with local expertise. AgroGuardAI is not a substitute for professional agronomic advice.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGROGUARDAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF CROPS, LOSS OF REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICES.

Our total liability for any claims arising from these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold AgroGuardAI harmless from any claims, damages, losses, and expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

14. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with Nigerian arbitration laws, with proceedings held in Abuja, Nigeria.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email and/or prominent notice on our website at least 30 days before taking effect. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
